1. Acceptance of Terms

By accessing and using the Aadiya Trade Solutions website (aadiyatradesolutions.in) or by engaging our IT services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.

2. Services Description

Aadiya Trade Solutions provides the following IT services:

• HR Recruiting and Talent Acquisition Services
• Mobile Application Development (iOS and Android)
• Custom Software Development
• Enterprise Resource Planning (ERP) Implementation and Consulting
• Digital Marketing Services (SEO, SEM, Social Media, PPC)
• E-Commerce Solutions and Platform Development
• Technology Consulting and Advisory Services

Specific service terms, deliverables, timelines, and pricing are defined in individual Service Agreements or Statements of Work (SOW) signed between both parties.

3. User Accounts and Registration

To access certain services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Not share account credentials with unauthorized third parties

4. Payment Terms

4.1 Pricing and Billing

All service fees are quoted and billed in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST) at the prevailing rate (currently 18%). Invoices are issued as per the agreed billing schedule in the Service Agreement.

4.2 Payment Due Dates

• Monthly subscriptions: Due on the 1st of each month
• Project milestones: Due within 7 days of milestone delivery and acceptance
• Retainer fees: Due in advance for the upcoming month

4.3 Late Payment

Payments not received within 15 days of the due date may be subject to a late fee of 2% per month on the outstanding balance. We reserve the right to suspend services for accounts with overdue balances exceeding 30 days.

4.4 Refund Policy

We offer a 30-day satisfaction guarantee for subscription plans. Project-based work refunds are handled case-by-case as defined in the Service Agreement. Refund requests must be submitted in writing to billing@aadiyatradesolutions.in within the applicable period.

5. Intellectual Property

5.1 Company Intellectual Property

The Company retains all rights to our proprietary frameworks, methodologies, tools, and pre-existing intellectual property. Our website content, branding, and marketing materials are protected by copyright and trademark laws.

5.2 Client Deliverables

Upon full payment of all applicable fees, you will own the final deliverables developed specifically for your project, as defined in the Service Agreement. Source code, designs, and documentation transfer upon final payment receipt.

5.3 Third-Party Components

Some deliverables may incorporate third-party open-source components licensed under MIT, Apache, or similar licenses. We will disclose all such components and their respective licenses.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Proprietary business information and trade secrets
• Technical specifications and project details
• Client data and personal information
• Financial terms of the engagement

This obligation of confidentiality survives the termination of the agreement for a period of 3 years.

7. Warranties and Representations

7.1 Company Warranties

We warrant that:

• Services will be provided by qualified, experienced professionals
• Deliverables will materially conform to agreed specifications
• We will not knowingly infringe third-party intellectual property rights
• We maintain appropriate insurance coverage for our services

7.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET ALL CLIENT EXPECTATIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Our total liability for any claim shall not exceed the total fees paid in the 3 months preceding the claim
• We shall not be liable for indirect, incidental, special, or consequential damages
• We shall not be liable for loss of profits, data, goodwill, or business opportunities

9. Termination

9.1 Termination by Client

You may terminate a Service Agreement with 30 days written notice. You remain liable for fees for work completed up to the termination date.

9.2 Termination by Company

We may terminate services immediately if you: breach these Terms, fail to pay amounts due, or engage in illegal or harmful activities.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be settled by arbitration under the Indian Arbitration and Conciliation Act, 1996, with proceedings conducted in Hyderabad, Telangana. The courts of Hyderabad shall have exclusive jurisdiction.

11. Force Majeure

Neither party shall be liable for delays or failures resulting from circumstances beyond their reasonable control, including natural disasters, pandemics, government actions, internet outages, or other force majeure events.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised Terms. We will notify existing clients of material changes via email with 30 days notice.
